A continuación se detallan los Términos y Condiciones (en adelante, los “Términos”) que regirán la relación entre Ud. y Newsan Argentina S.A., con domicilio en Roque Pérez 3650, Ciudad de Buenos Aires, República Argentina, CUIT 30-64261777-5 (en adelante, "Newsan") para la utilización del servicio Home Sync de Newsan. Los Términos incluyen además la Política de Privacidad de Newsan que también deben ser aceptados de modo expreso luego de conocer su contenido. Todas las actualizaciones sobre los Términos serán informados en el sitio indicándose la última fecha de actualización para su información.
Antes de aceptar estos Términos y Condiciones, debes leer detenidamente todo su contenido y conocer plenamente su contenido. En caso de duda sobre los mismos, te solicitamos que te contactes con nosotros. Es necesaria la aceptación expresa de estos Términos y Condiciones para poder utilizar los servicios de la Plataforma de Newsan. Además de leer y aceptar estos Términos y Condiciones es necesario completar el formulario de registro. En caso de incumplimiento de estos Términos y Condiciones, Newsan tiene el derecho de restringir, suspender o cancelar unilateralmente el servicio.
I. Definiciones
1.1 El software Home Sync se refiere a una app OEM que funciona sobre un desarrollo de Hangzhou Home Sync Technology Co., Ltd., descargado de la plataforma e instalado y aplicado dispositivos tecnológicos.
1.2 Los servicios se refieren a los servicios que le proporciona Newsan a través de Hangzhou Tuya Technology Co., Ltd. Puedes utilizar dichos servicios en el dispositivo con el software licenciado.
II. Servicio
2.1 Newsan le ofrece servicios de gestión de equipos de vida inteligentes, según los cuales puede acceder al terminal inteligente en Home Sync Smart Platform a través de Home Sync Control y realizar interconexiones entre equipos inteligentes. Los contenidos del servicio incluyen gestión inteligente de equipos, interconexión de escenas e informes de análisis, etc. Dichas funciones pueden optimizarse, actualizarse o modificarse según los cambios en las demandas de los usuarios o el criterio del proveedor de servicios, y el suministro del servicio puede suspenderse temporalmente debido a actualizaciones o mantenimientos regulares.
III. Alcance del servicio
3.1 Newsan le otorga el derecho de utilizar el producto basado en este software. Tiene prohibido otorgar licencias, vender, arrendar, transferir, emitir el producto de cualquier forma o utilizar el producto para otros fines comerciales.
3.2 Debido a limitaciones en la plataforma y los terminales de adaptación del software, solo puede utilizar el software con licencia en la plataforma y el terminal del sistema autorizados. Si instala el software con licencia en otro equipo terminal, puede dañar la función de su hardware o software.
3.3 Usted reconoce que el software con licencia solo se puede utilizar con fines no comerciales y que la instalación, aplicación y ejecución del software con licencia están prohibidas. Si dicha operación comercial fuera necesaria, se deberá obtener autorización y permiso previo por escrito de Newsan.
3.4 Newsan puede cambiar, actualizar o transferir el software con licencia o funciones relevantes de vez en cuando, y puede agregar nuevas funciones o servicios en el sistema de software con licencia.
3.5 Usted será responsable de la exactitud, confiabilidad, integridad y legalidad de los datos ingresados y de la legalidad de la forma en que los obtiene, y deberá realizar copias de seguridad de los datos y mantener resguardada las claves de acceso y contraseñas que eventualmente se generen. Usted asumirá todos los riesgos por daños y pérdida de dicha información.
IV. Un tercero
4.1 Usted reconoce que los servicios de Newsan se basan en software o servicios proporcionados por un tercero, tal como se indicó previamente con quien Newsan posee una relación contractual a tal efecto.
4.2 Usted reconoce que Newsan no puede garantizar que el software con licencia siempre utilice o contenga dichos servicios, o que en el futuro se utilice otro software proporcionado por el mismo tercero. Asimismo, podrá utilizar servicios similares suministrados por otro tercero, en cuyo caso le será informado previamente.
V. Estándar de Aplicación de Servicio
5.1 Deberá utilizar el software con licencia de forma normal. Las siguientes formas infringen el estándar de aplicación:
1) Emitir o compartir virus informáticos, gusanos, códigos maliciosos o software que dañe o cambie deliberadamente el sistema informático o los datos;
2) Recopilar información o datos de otros usuarios sin autorización, por ejemplo, dirección de correo electrónico y similares;
3) Utilizar maliciosamente el producto de forma automática, provocando una sobrecarga en el servidor, o interfiriendo o dañando el servidor web y los enlaces de red de otras formas.
4) Intentar visitar datos del servidor o datos de comunicación del producto sin autorización;
5) Interferir o dañar la aplicación de producción por parte de otros usuarios.
5.2 Usted comprende y acepta que:
1) Newsan determinará si usted está involucrado o no en una violación de los estándares anteriores y suspenderá o cancelará su licencia de solicitud de Términos con los resultados de la determinación o tomará otras restricciones de Términos con Términos.
2) Newsan eliminará directamente información en violación de las leyes, o infringiendo los derechos legales de otros, o en violación del Términos emitido por usted al utilizar el software con licencia.
3) Si un tercero sufre daños debido a su incumplimiento de los estándares de aplicación, usted asumirá de forma independiente la responsabilidad legal en su nombre, y protegerá e indemnizará a Newsan por pérdidas o gastos adicionales generados por ello. De lo contrario, Newsan tiene derecho a reclamar una indemnización.
4) Si Newsan sufre alguna pérdida debido a su incumplimiento de las leyes pertinentes o del Términos, deberá compensar a Newsan por las pérdidas y/o gastos generados por las mismas.
VI. Estándar de contenido de información
6.1 Usted promete que no realizará ningún acto que infrinja las leyes o comportamientos inapropiados al utilizar el servicio; dichos actos y comportamientos incluyen (pero no se limitan a):
6.1.1 Cargar, transferir o compartir información que contenga uno de los siguientes contenidos:
1) Incitar al odio y la discriminación racial, religiosa o sexual;
2) Difundir obscenidad, pornografía, juegos de azar y violencia, asesinato y terror o complicidad en un delito;
3) Insultar o calumniar a otros e infringir los derechos e intereses legales de otros;
4) Que contengan contenidos falsos, defraudación, daño, amenaza, infracción de la privacidad de otros, acoso, infracción, calumnia, grosería, indecencia o contenidos moralmente repulsivos;
VII. Política de privacidad y datos
7.1 Es fundamental para Newsan proteger su información personal. Newsan prepara la Política de Privacidad de Home Sync Smart Platform, en la que se divulgan contenidos relacionados con la propiedad y protección de la propiedad intelectual, recopilación, uso, intercambio, almacenamiento y protección, etc. de su información. Se recomienda leer detenidamente la Política de privacidad de Home Sync Smart Platform.
VIII. Cláusulas varias
8.1 Newsan tomará todas las medidas necesarias y técnicamente disponibles para asegurar la seguridad de la información.
8.2 Usted será responsable del cumplimiento de estos Términos y en especial se utilizar el servicio Home Sync conforme las pautas y recomendaciones brindadas por Newsan, así como a actualizar cualquier complemento o nueva versión de modo periódico.
8.3 Cualquier otro software derivado de software con licencia no desarrollado y publicado por Newsan o cuyo desarrollo y lanzamiento no sean otorgados por Newsan es software ilegal. La descarga, instalación y uso de dicho software puede generar riesgos severos en sus dispositivos electrónicos.
8.4 El uso de Home Sync Smart Platform implica un servicio de Internet, el cual puede verse afectado por factores de inestabilidad en todos los enlaces. Aunque Newsan ha tomado y toma medidas de salvaguardia constantes, el servicio puede suspenderse, cancelarse, retrasarse, sufrir restricciones o fallas en la aplicación debido a defectos inherentes de la red de Internet y las comunicaciones electrónicas.
IX. Terminación e Incumplimiento de los Términos
9.1 Debe comprender que deberá utilizar el software con licencia de Términos con el alcance de la autorización, respetar la propiedad intelectual del software y los contenidos contenidos en el software y cumplir con las obligaciones incluidas en los Términos para utilizar los servicios de Home Sync. Newsan podrá rescindir la licencia de la aplicación en caso de incumplimiento a los Términos.
9.2 La aplicación del software se basa en los servicios de soporte proporcionados por las empresas contratadas por Newsan a tal efecto. Las empresas pueden causar fallas en el uso normal del software con licencia, en cuyo caso, Newsan tendrá derecho a rescindir la licencia de la aplicación o tomar medidas para restringir su licencia de aplicación u otros derechos e intereses controlados por Newsan según lo acordado en estos Términos, incluida la suspensión o terminación de su licencia de aplicación.
9.3 En caso de incumplimiento a estos Términos, Newsan tendrá derecho a notificar a las empresas relacionadas y proveedoras de servicios, exigiéndoles que tomen medidas restrictivas para sus derechos e intereses, incluido exigir a las empresas relacionadas que suspendan o cancelen el suministro de parte o servicios completos para usted y anunciar legalmente su incumplimiento de Términos en sitios web administrados o controlados por ellos.
9.4 El software con licencia se descarga desde la plataforma de descarga y usted deberá cumplir con las estipulaciones de la plataforma de descarga, la plataforma del sistema y el fabricante del terminal sobre las formas de aplicación y las restricciones del software con licencia. Si el tercero mencionado anteriormente confirma que usted incumple los Términos, Newsan podrá rescindir su licencia de aplicación a solicitud del tercero.
9.5 Cuando finalice la licencia de la aplicación, deberá dejar de utilizar el software con licencia y destruir todas las copias.
X. Leyes aplicables y divisibilidad
10.1 Estos Términos, su interpretación y aplicación se rigen por las leyes de la República Argentina.
10.2 Las disputas que surjan con relación a los Términos serán resueltas por los tribunales ordinarios de la Ciudad de Buenos Aires o por cualquier otro que sea establecido por la legislación vigente.

I. Definitions
1.1 The Home Sync software refers to an OEM app that operates on a development by Hangzhou Home Sync Technology Co., Ltd., downloaded from the platform and installed and applied to technological devices.
1.2 The services refer to the services provided by Newsan through Hangzhou Tuya Technology Co., Ltd. You can use such services on the device with the licensed software.
II. Service
2.1 Newsan offers you smart life equipment management services, through which you can access the smart terminal on the Home Sync Smart Platform through Home Sync Control and make interconnections between smart equipment. Service contents include intelligent equipment management, scene interconnection, and analysis reports, etc. Such functions may be optimized, updated, or modified according to changes in user demands or service provider criteria, and service supply may be temporarily suspended due to updates or regular maintenance.
III. Scope of Service
3.1 Newsan grants you the right to use the product based on this software. You are prohibited from licensing, selling, leasing, transferring, issuing the product in any way, or using the product for other commercial purposes.
3.2 Due to limitations in the platform and software adaptation terminals, you can only use the licensed software on authorized platforms and terminal systems. Installing licensed software on another terminal may damage its hardware or software function.
3.3 You acknowledge that licensed software can only be used for non-commercial purposes and that installation, application, and execution of licensed software are prohibited. If such commercial operation is necessary, authorization and prior written permission from Newsan must be obtained.
3.4 Newsan may change, update, or transfer the licensed software or relevant functions from time to time and may add new functions or services to the licensed software system.
3.5 You will be responsible for the accuracy, reliability, completeness, and legality of the entered data and the legality of how you obtain it, and you must back up the data and keep access keys and passwords that may be generated secure. You assume all risks for damages and loss of such information.
IV. Third Party
4.1 You acknowledge that Newsan's services are based on software or services provided by a third party, as previously indicated with whom Newsan has a contractual relationship for this purpose.
4.2 You acknowledge that Newsan cannot guarantee that licensed software will always use or contain such services, or that other software provided by the same third party will be used in the future. Likewise, you may use similar services supplied by another third party, in which case you will be informed beforehand.
V. Service Application Standard
5.1 You should use the licensed software normally. The following forms violate the application standard:
1) Issuing or sharing computer viruses, worms, malicious code, or software that deliberately damages or changes the computer system or data;
2) Collecting information or data from other users without authorization, for example, email addresses, and the like;
3) Maliciously using the product automatically, causing server overload, or interfering with or damaging the web server and network links in other ways.
4) Attempting to visit server data or product communication data without authorization;
5) Interfering with or damaging other users' production application.
5.2 You understand and agree that:
1) Newsan will determine whether you are involved in a violation of the above standards and will suspend or cancel your Terms application license with the determination results or take other Terms restrictions with Terms.
2) Newsan will directly delete information in violation of laws, or infringing others' legal rights, or in violation of the Terms issued by you when using the licensed software.
3) If a third party suffers damages due to your breach of the application standards, you will independently assume legal responsibility on their behalf, and protect and indemnify Newsan for losses or additional expenses incurred thereby. Otherwise, Newsan has the right to claim compensation.
4) If Newsan suffers any losses due to your breach of relevant laws or Terms, you shall compensate Newsan for the losses and/or expenses incurred by them.
VI. Information Content Standard
6.1 You promise not to perform any acts that infringe laws or inappropriate behaviors when using the service; such acts and behaviors include (but are not limited to):
6.1.1 Uploading, transferring, or sharing information containing one of the following contents:
1) Inciting hatred and racial, religious, or sexual discrimination;
2) Spreading obscenity, pornography, gambling, violence, murder, and terror or complicity in a crime;
3) Insulting or defaming others and infringing on others' legal rights and interests;
4) Containing false content, fraud, harm, threat, infringement of others' privacy, harassment, infringement, slander, rudeness, indecency, or morally repulsive content;
VII. Privacy and Data Policy
7.1 It is essential for Newsan to protect your personal information. Newsan prepares the Home Sync Smart Platform Privacy Policy, which discloses contents related to the ownership and protection of intellectual property, collection, use, exchange, storage, and protection, etc. of your information. It is recommended to carefully read the Home Sync Smart Platform Privacy Policy.
VIII. Miscellaneous Clauses
8.1 Newsan will take all necessary and technically available measures to ensure information security.
8.2 You will be responsible for complying with these Terms and especially using the Home Sync service according to the guidelines and recommendations provided by Newsan, as well as updating any add-ons or new versions periodically.
8.3 Any other software derived from licensed software not developed and published by Newsan or whose development and release are not granted by Newsan is illegal software. Downloading, installing, and using such software may pose severe risks to your electronic devices.
8.4 The use of the Home Sync Smart Platform implies an Internet service, which may be affected by instability factors in all links. Although Newsan has taken and takes constant safeguard measures, the service may be suspended, canceled, delayed, subject to restrictions, or experience application failures due to inherent defects in the Internet network and electronic communications.
IX. Termination and Breach of Terms
9.1 You must understand that you must use the licensed software in Terms scope of authorization, respect the intellectual property of the software, and the contents contained in the software, and comply with the obligations included in the Terms to use Home Sync services. Newsan may terminate the application license in case of non-compliance with the Terms.
9.2 The application of the software is based on support services provided by companies contracted by Newsan for this purpose. 9.3 In case of breach of these Terms, Newsan has the right to notify related companies and service providers, demanding that they take restrictive measures for your rights and interests, including requiring related companies to suspend or cancel the supply of partial or complete services for you and legally announce your breach of Terms on websites managed or controlled by them.
9.4 The licensed software is downloaded from the download platform and you must comply with the stipulations of the download platform, the system platform, and the terminal manufacturer regarding the application forms and restrictions of the licensed software. If the above-mentioned third party confirms that you breach the Terms, Newsan may terminate your application license at the request of the third party.
9.5 When the application license expires, you must stop using the licensed software and destroy all copies.
X. Applicable Laws and Severability
10.1 These Terms, their interpretation, and application are governed by the laws of the Argentine Republic.
10.2 Disputes arising in connection with the Terms shall be resolved by the ordinary courts of the City of Buenos Aires or by any other established by current legislation.
